Terms of Service

Demo (mock) — powered by AIDA from PrecipiceCare

1. Acceptance of Terms

By accessing or using the AIDA scheduling assistant (the "Service") provided by PrecipiceCare Inc. ("PrecipiceCare", "we", "us") on behalf of Demo (mock) (the "Clinic"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User") and PrecipiceCare. By clicking "I Agree — Continue" on the consent screen, you confirm that you have read, understood, and accepted these Terms.

2. Description of Service

AIDA is an AI-powered voice and text scheduling assistant that helps patients of Demo (mock) to:

  • Look up their existing appointment records in the Clinic's Electronic Medical Record (EMR) system
  • Book, reschedule, or cancel appointments with providers at Demo (mock)
  • Receive confirmation of scheduling actions

The Service is provided as a convenience tool. All scheduling actions are subject to the Clinic's own policies, provider availability, and applicable clinical guidelines. AIDA does not guarantee appointment availability or confirmation.

3. Not Medical Advice

AIDA does not provide medical advice. The Service is limited to appointment scheduling and administrative support. Nothing communicated through AIDA constitutes medical advice, a clinical diagnosis, a treatment recommendation, or a substitute for consultation with a qualified healthcare provider.

If you have questions about your health, symptoms, medications, or treatment, contact Demo (mock) directly or consult a qualified healthcare professional. In an emergency, call 911.

4. Eligibility & Access

The Service is intended for use by patients of Demo (mock) or their authorized representatives (e.g., a parent or legal guardian booking on behalf of a minor). By using the Service, you represent that:

  • You are the patient, or have explicit authority to act on behalf of the patient
  • The personal information you provide is accurate and belongs to the patient
  • You are at least 18 years of age, or are a minor using the Service with a parent/guardian's consent

5. Permitted Use

You agree to use the Service only for its intended scheduling purpose. You must not:

  • Attempt to access another patient's records without authorization
  • Use the Service to submit false, misleading, or fraudulent information
  • Probe, scan, or test the Service for security vulnerabilities
  • Use automated tools, bots, or scripts to interact with AIDA
  • Attempt to reverse-engineer, decompile, or extract proprietary AI models
  • Use the Service in any manner that could disrupt, damage, or impair Demo (mock)'s EMR system

6. Privacy & Data Processing

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and processing of your information as described in that policy, including the cross-border transfer of voice data to OpenAI (United States) for real-time speech processing.

PrecipiceCare acts as a data processor on behalf of Demo (mock). The Clinic retains responsibility for the accuracy and maintenance of your health records in its EMR system.

7. Intellectual Property

All software, AI models, interfaces, designs, and content comprising the AIDA Service are the proprietary intellectual property of PrecipiceCare Inc. or its licensors. These Terms do not grant you any right, title, or licence in or to any PrecipiceCare intellectual property.

The name "AIDA", the PrecipiceCare logo, and all associated branding are trademarks of PrecipiceCare Inc. and may not be used without prior written permission.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRECIPICECARE DISCLAIMS ALL WARRANTIES, INCLUDING:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Any warranty that the Service will be uninterrupted, error-free, or free of harmful components
  • Any warranty regarding the accuracy, completeness, or timeliness of scheduling information retrieved from the Clinic's EMR
  • Any warranty that AI-generated responses will be accurate or appropriate for your circumstances

Some jurisdictions do not allow the exclusion of implied warranties. In such cases, the above exclusions apply to the fullest extent permitted by law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, PRECIPICECARE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of data, revenue, profits, or business opportunities
  • Harm arising from reliance on AI-generated scheduling responses
  • Missed, delayed, or incorrectly booked appointments
  • Decisions made based on information retrieved from the Clinic's EMR through the Service

In no event shall PrecipiceCare's total aggregate liability to you for all claims arising from or relating to the Service exceed the greater of (a) the amount you paid to PrecipiceCare in the twelve months preceding the claim, or (b) CAD $100.

Where the Service is provided free of charge (including all demo instances), PrecipiceCare's total liability is CAD $0, to the fullest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless PrecipiceCare Inc., its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your use of or inability to use the Service
  • Your violation of these Terms
  • Your provision of false or unauthorized personal information through the Service
  • Any third-party claim that your use of the Service violated their rights

11. Third-Party Services

The Service integrates with third-party platforms including:

OpenAI, LLC (USA)Real-time voice processing (Realtime API). Subject to OpenAI's Terms of Use.
Well Health / OscarProEMR system operated by the Clinic. Subject to the Clinic's own patient agreements.
Google Cloud PlatformCloud hosting infrastructure. Subject to Google's Terms of Service.
Neon, Inc.Database infrastructure. Subject to Neon's Terms of Service.

PrecipiceCare is not responsible for the practices, availability, or content of third-party services. Your use of third-party services integrated with AIDA is at your own risk and subject to those parties' terms.

12. Service Availability

PrecipiceCare does not guarantee that the Service will be available at any particular time or without interruption. The Service may be suspended or terminated at any time for maintenance, security, legal compliance, or any other reason without prior notice.

Scheduling actions (bookings, cancellations, reschedules) are only confirmed when written confirmation is provided within the session. PrecipiceCare is not liable for any scheduling action that fails to complete due to a service interruption.

13. Modifications to Terms

PrecipiceCare reserves the right to modify these Terms at any time. Material changes will be communicated by updating the effective date above. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

It is your responsibility to review these Terms periodically. The current version is always available at /terms on this domain.

14. Termination

PrecipiceCare may suspend or terminate your access to the Service immediately and without notice if you violate these Terms or if we reasonably believe your use poses a security or legal risk. Upon termination, your right to use the Service ceases immediately.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada. You irrevocably submit to the personal jurisdiction of such courts.

Before initiating legal proceedings, you agree to contact us at legal@precipicecare.com and allow 30 days for us to attempt to resolve the dispute informally.

16. Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and PrecipiceCare regarding the Service and supersede any prior agreements.
